CERAPH SOFTWARE LICENSE AGREEMENT Version 1.1 — August 30, 2026 Copyright (c) 2026 Ike Studios LLC. All rights reserved. This Ceraph Software License Agreement (the "Agreement") governs the Ceraph software made available by Ike Studios LLC ("Ike Studios"), including the @ceraph/react-native-mcp package, its bundled components, documentation, and updates (collectively, the "Software"). 1. ACCEPTANCE By installing, copying, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software. 2. LICENSE GRANT Subject to this Agreement, Ike Studios grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use unmodified copies of the Software's Starter functionality for your own internal software development and testing. Your employees and contractors may use the Software solely on your behalf and remain subject to this Agreement. Subscription-protected functionality may be used only while the user has an active paid Ceraph subscription or another entitlement expressly granted by Ike Studios. Expiration or cancellation of that entitlement ends access to the subscription-protected functionality but does not, by itself, end the Starter license above. You may make copies only as reasonably necessary for installation, execution, and backup under this Agreement. 3. PROJECT MATERIALS You retain all rights in your application code, project-authored hooks, configuration, test fixtures, recordings, screenshots, snapshots, and other evidence produced from testing your application (collectively, "Project Materials"). This Agreement does not restrict your use of documented Ceraph extension points to create Project Materials. For clarity, you may write and run project-authored hooks, configuration, fixtures, setup code, and integrations through those extension points solely to test your application. This permission does not allow you to use Ceraph materials as a blueprint to recreate any feature or functionality of the Software. 4. RESTRICTIONS Except to the extent a restriction is prohibited by applicable law, you may not, and may not permit any third party to: a. modify, adapt, translate, patch, or create derivative works of the Software; b. reverse engineer, decompile, disassemble, decode, decrypt, or otherwise attempt to discover or derive the Software's source code, algorithms, architecture, implementation, or nonpublic operation; c. move, change, disable, bypass, emulate, or circumvent any entitlement, subscription, license-key, authentication, usage-control, or protected functionality in the Software; d. copy, publish, distribute, sublicense, sell, rent, lease, transfer, host, or make the Software available to a third party, except for the limited installation and backup copies authorized above; e. provide the Software or any substantial portion of its functionality as a hosted, managed, bureau, time-sharing, or service-provider offering; f. use the Software, its documentation, its machine-readable tool descriptions, or other technical materials as a reference, specification, training source, or validation target to reproduce, emulate, reimplement, or otherwise create any feature or functionality of the Software, whether for personal, internal, educational, evaluation, noncommercial, or commercial purposes; this subsection does not prohibit use expressly permitted by Section 3; g. use the Software or any of those materials to develop, train, improve, validate, or operate a competing product or service; h. remove, alter, or obscure any copyright, trademark, license, attribution, or proprietary notice; or i. use the Software in violation of applicable law or to test an application you do not own or have permission to test. No right is granted to use Ceraph or Ike Studios names, logos, or trademarks except to identify the Software truthfully. 5. OWNERSHIP AND FEEDBACK The Software is licensed, not sold. Ike Studios and its licensors retain all right, title, and interest in the Software and all associated intellectual property rights. No rights are granted except those expressly stated here. If you voluntarily provide feedback about the Software, you grant Ike Studios a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or obligation. 6. UPDATES AND THIRD-PARTY COMPONENTS Ike Studios may change the Software or the terms offered for future versions. Your use of a future version is governed by the terms accompanying that version. Third-party components, if any, remain governed by their respective licenses. 7. TERMINATION This Agreement terminates automatically if you materially breach it. Upon termination, you must stop using and delete all copies of the Software in your possession or control. Sections 4, 5, 8, 9, 10, and 11 survive termination. 8. DISCLAIMER OF WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, IKE STUDIOS AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF IKE STUDIOS AND ITS LICENSORS FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR CERAPH DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. 10. GOVERNING LAW This Agreement is governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from this Agreement, and you consent to their jurisdiction and venue. 11. GENERAL If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Your rights under this Agreement may not be assigned without Ike Studios' prior written consent. Ike Studios may assign this Agreement. This Agreement is the entire agreement concerning the Software and supersedes prior or contemporaneous agreements about its subject matter, except for a separate written agreement signed by Ike Studios.
